Welcome to Emptyset Solutions, LLC (“we,” “us,” or “our”). By accessing or using our website (“Site”), products, and services, including but not limited to technical consulting services, software development services, and Software-as-a-Service (“SaaS”) tools (“Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By accessing, using, or purchasing our Services, you confirm that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

2. Scope of Services

2.1 Technical Consulting Services

We provide professional advice, assessments, and support tailored to your specific technical and business needs.

2.2 Software Development Services

We develop custom software solutions based on your requirements and specifications. Ownership and licensing of developed software will be subject to separate agreements.

2.3 SaaS Tools

We offer subscription-based software applications hosted and managed by us. Use of these tools is subject to additional terms outlined in our SaaS User Agreement.

3. User Obligations

• You agree to use our Services only for lawful purposes and in accordance with these Terms.

• You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

• You may not reverse-engineer, decompile, or otherwise attempt to derive the source code of any software provided by us.

4. Payment and Billing

• Payment terms, including fees and billing cycles, will be specified in the applicable order, statement of work, or service agreement.

• All payments must be made in U.S. dollars unless otherwise agreed.

• Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Intellectual Property

5.1 Ownership

All intellectual property, including but not limited to software, designs, documentation, and methodologies, developed or provided by us remains our exclusive property unless otherwise specified in a written agreement.

5.2 License

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable license to use our SaaS tools and deliverables for your internal business purposes.

6. Confidentiality

Both parties agree to keep confidential information shared under these Terms secure and not to disclose it to any third party without prior written consent, except as required by law.

7. Payment and Billing

• Our Services are provided “AS IS” and “AS AVAILABLE.”

• We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

• We do not guarantee that our Services will be error-free or uninterrupted.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our Services, even if advised of the possibility of such damages. Our total liability for all claims under these Terms will not exceed the amount paid by you for the Services in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold us harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

• We may terminate or suspend your access to our Services at any time if you breach these Terms or for any other reason at our sole discretion.

• Upon termination, you must cease all use of the Services and destroy any materials obtained through them.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. Any disputes arising out of these Terms will be resolved exclusively in the state or federal courts located in Colorado.

12. Amendments

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to our Site. Your continued use of the Services constitutes acceptance of the revised Terms.

13. Miscellaneous

• These Terms constitute the entire agreement between you and us regarding the use of our Services.

• If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

• Our failure to enforce any right or provision under these Terms will not constitute a waiver of that right or provision.
